Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," "User") and SoneaLabs ("we," "us," "our"), an independently operated brand based in Mumbai, India, governing your access to and use of the Tijara platform ("Platform," "Service") accessible at usetijara.com and related interfaces.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

1. Definitions

• "Account" means your registered user account on the Platform.
• "Content" means all data, text, files, documents, images, and other materials that you or your authorized users upload, submit, or create on the Platform.
• "Organization" means the business entity or workspace created on the Platform under which Users collaborate.
• "Plan" means the subscription tier (Free, Pro, or Business) associated with your Organization.
• "Authorized Users" means individuals who are invited to and accepted into your Organization on the Platform.

2. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Registration and Security

3.1 Account Creation

To use the Platform, you must create an account by providing accurate and complete information, including your name, email address, and a secure password. You agree to update your account information promptly if it changes.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree to:

• Use a strong, unique password for your Account
• Not share your login credentials with unauthorized persons
• Notify us immediately at harsh@sonealabs.com if you become aware of any unauthorized access to your Account

We are not liable for any loss or damage arising from your failure to maintain the security of your Account credentials.

3.3 Organization Administration

The user who creates an Organization is designated as the "Owner." The Owner may invite additional users and assign roles (admin, member, viewer). The Owner is responsible for managing user access and permissions within the Organization and for the accuracy of data entered by all Authorized Users.

4. Service Description

Tijara is a trade management platform designed for import-export businesses. The Platform provides tools for deal management, landed cost tracking, invoicing, payment management, letter of credit tracking, CEPA eligibility management, container tracking, document management, reporting, and team collaboration.

The Platform is provided as a cloud-based software-as-a-service (SaaS) accessible via web browsers on desktop and mobile devices. No separate application installation is required.

5. Subscription Plans and Billing

5.1 Plans

The Platform offers the following plans:

• Free Plan: Limited features and usage as described on our pricing page.
• Pro Plan ($49/month): Expanded features, 3 user seats, unlimited deals.
• Business Plan ($99/month): Full features, unlimited users, automation capabilities.

Current pricing, features, and limits for each plan are published at usetijara.com/pricing and are incorporated into these Terms by reference. We reserve the right to modify plan features and pricing as described in Section 5.5.

5.2 Free Trial

Every new Account receives a 30-day trial of the Pro plan at no cost. At the end of the trial period, your Account will automatically transition to the Free plan unless you subscribe to a paid plan. No payment information is required for the trial.

5.3 Payment Processing

Paid subscriptions are processed by our third-party billing provider, Lemon Squeezy (operated by Lemon Squeezy LLC). By subscribing to a paid plan, you also agree to Lemon Squeezy's terms of service and privacy policy. We do not directly collect, store, or process payment card details.

Subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select. All amounts are in United States Dollars (USD) unless otherwise stated.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through the Platform's billing settings or by contacting us. Upon cancellation:

• Your paid plan features will remain active until the end of the current billing period.
• Your Account will then transition to the Free plan.
• Your data will be retained and accessible under Free plan limits.

We do not provide refunds for partial billing periods, except where required by applicable law. If you believe you are entitled to a refund, contact us at harsh@sonealabs.com.

5.5 Price Changes

We may change our subscription prices from time to time. If we increase prices, we will provide at least 30 days' notice via email before the change takes effect. Price changes will apply to the next billing cycle following the notice period. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

6. Your Content and Data

6.1 Ownership

You retain all ownership rights in the Content you create, upload, or submit to the Platform. We do not claim ownership of your Content.

6.2 License to Us

By submitting Content to the Platform, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit your Content solely for the purpose of providing and improving the Service. This license terminates when you delete your Content or your Account, subject to reasonable backup and archival retention periods.

6.3 Data Portability

You may export your data from the Platform at any time using the available CSV export and report download features. If you need assistance exporting data in a specific format, contact us at harsh@sonealabs.com.

6.4 Data Accuracy

You are responsible for the accuracy, completeness, and legality of the Content you submit to the Platform. We do not verify or validate the accuracy of trade data, financial figures, or other business information you enter.

6.5 Data Processing

We process your Content as described in our Privacy Policy, which is incorporated into these Terms by reference.

7. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malicious code, viruses, or other harmful materials
• Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or our systems
• Use the Platform for any fraudulent, deceptive, or illegal activity
• Interfere with or disrupt the integrity or performance of the Platform
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use automated scripts, bots, or scrapers to access the Platform without our prior written consent
• Resell, redistribute, or sublicense access to the Platform without our authorization
• Use the Platform to store or process data that you do not have the legal right to process
• Circumvent any usage limits, access controls, or security measures of the Platform

We reserve the right to suspend or terminate your Account if we reasonably believe you are violating these acceptable use terms.

8. Intellectual Property

8.1 Our Intellectual Property

The Platform, including its design, code, architecture, features, branding, logos (including the Tijara name and logo), documentation, and all related intellectual property, are owned by SoneaLabs and are protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in our intellectual property except the limited right to use the Platform as described herein.

8.2 Feedback

If you provide us with suggestions, ideas, or feedback regarding the Platform ("Feedback"), you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into the Platform without any obligation to you.

9. Third-Party Services

The Platform integrates with third-party services including, but not limited to, Supabase, Vercel, Lemon Squeezy, WhatsApp Business API, PostHog, Google Analytics, and Resend. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Service Availability and Support

10.1 Availability

We strive to maintain the Platform's availability but do not guarantee uninterrupted or error-free operation. The Platform may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled maintenance.

10.2 Support

Support is provided via email at harsh@sonealabs.com and, for paid plan subscribers, via WhatsApp. We aim to respond to support inquiries within 2 business days for Free plan users and within 1 business day for paid plan users. Business plan subscribers receive priority support.

10.3 Modifications to the Service

We reserve the right to modify, update, or discontinue any feature or functionality of the Platform at any time. If we discontinue a material feature that you rely on, we will provide at least 30 days' notice.

11. Limitation of Liability

11.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Platform will meet your specific requirements, that the results obtained from the use of the Platform will be accurate or reliable, or that the Platform will be available at all times without interruption.

11.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SONEALABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

11.3 Trade Decisions

The Platform provides tools for tracking and managing trade operations. It does not provide financial, legal, tax, or trade compliance advice. All trade decisions, regulatory compliance, customs declarations, and financial decisions remain solely your responsibility. We are not liable for any losses arising from trade decisions made using the Platform.

11.4 Data Accuracy Disclaimer

The Platform performs calculations (including margin calculations, FX conversions, CEPA eligibility checks, and cost allocations) based on the data you enter. We do not guarantee the accuracy of these calculations and are not liable for financial losses arising from errors in user-entered data or calculation outputs. You are responsible for verifying all financial data independently.

12. Indemnification

You agree to indemnify, defend, and hold harmless SoneaLabs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your Content or the data you submit to the Platform
• Any dispute between you and a third party arising from your use of the Platform

13. Termination

13.1 By You

You may terminate your Account at any time by contacting us at harsh@sonealabs.com or through the Platform's settings. Upon termination, your paid subscription (if any) will be cancelled, and your Account will be deactivated.

13.2 By Us

We may suspend or terminate your Account immediately, with or without notice, if:

• You breach these Terms
• You engage in fraudulent, abusive, or illegal activity
• Your use of the Platform poses a security risk
• We are required to do so by law
• We discontinue the Platform (with at least 60 days' notice)

13.3 Effect of Termination

Upon termination:

• Your right to access the Platform ceases immediately
• We will retain your data for 30 days, during which you may request data export
• After 30 days, we will delete or anonymize your data, except as required by law
• Provisions that by their nature should survive termination (including Sections 6.1, 8, 11, 12, and 14) will continue to apply

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be subject to good faith negotiation between the parties for a period of 30 days. If the dispute is not resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.

14.3 Future Entity Registration

SoneaLabs may incorporate as a registered entity in India, the United Arab Emirates, or another jurisdiction in the future. Upon incorporation, we will update these Terms to reflect the registered entity details and any change in governing law. Users will be notified of such changes via email at least 30 days in advance.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Security Policy, constitute the entire agreement between you and SoneaLabs with respect to the Platform and supersede all prior agreements, understandings, and communications.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, strikes, government actions, internet or telecommunications failures, or third-party service outages.

15.6 Notices

We will send notices to the email address associated with your Account. You are responsible for keeping your email address current. Notices sent by email are deemed received 24 hours after sending.
